Every year, thousands of small businesses in India supply goods and services to larger buyers — and then wait months, sometimes years, to get paid. If you run an MSME, you already know this isn’t just inconvenient. It’s a cash-flow crisis waiting to happen.
The good news: the law is on your side, and the process to enforce it has never been faster.
Under the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, a buyer must pay a registered MSME supplier within 45 days of accepting goods or services. Miss that deadline, and the buyer owes compound interest at three times the RBI’s bank rate — a penalty steep enough to make delay genuinely costly for the defaulter, not just the supplier.
If payment still doesn’t come, the MSME can approach the Micro and Small Enterprises Facilitation Council (MSEFC). The Council first attempts conciliation; if that fails, it either arbitrates the dispute itself or refers it to institutional arbitration. Crucially, this route bypasses the years-long backlog of civil courts.
The MSME Samadhaan portal was built to make this process accessible — an MSME can file a delayed-payment complaint online, track it, and have it routed directly to the relevant State Facilitation Council, without ever stepping into a courtroom to start proceedings.
Layered on top of this is Online Dispute Resolution (ODR) — arbitration and conciliation conducted through virtual hearings, digital evidence submission, and e-awards. For a small business owner, this means:
In our experience, the biggest hurdle isn’t the law — it’s procedure. Common mistakes include:
A well-drafted Samadhaan filing, backed by the right documentary evidence, dramatically improves both the speed and outcome of recovery.
We assist MSMEs end-to-end: verifying Udyam eligibility, drafting and filing Samadhaan complaints, representing clients before Facilitation Councils, and managing ODR arbitration proceedings — including enforcement of the final award if the buyer still doesn’t pay voluntarily.
If your business is sitting on unpaid invoices, don’t let the 45-day clock become the cost of doing business. The law gives you leverage — using it correctly is what turns that leverage into recovered cash.
